Terms of Service

These Terms of Service (the "Terms") form an agreement between Jamestown Capital LLC ("Jamestown Capital," "we," "us," or "our") and the individual or entity that accesses our websites, software applications, or integrations ("you" or "Customer"). They also serve as the end user license agreement for any software we make available to you.

1. Acceptance of These Terms

By accessing our website, installing or connecting one of our software applications, or authorizing an integration with a third-party platform, you agree to these Terms. If you do not agree, do not use our websites, applications, or integrations. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

2. Services and License Grant

Jamestown Capital provides investment and advisory services, and develops software applications and data integrations used by Jamestown Capital and the companies in which it invests. These applications are provided for internal business use and are not offered as a general-availability consumer product.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our applications and integrations solely for your internal business purposes for as long as you are authorized to do so. We retain all right, title, and interest in and to our software, including all intellectual property rights. No rights are granted except as expressly stated here.

3. Authorized Users and Account Security

Access may require credentials, API keys, or authorization tokens. You are responsible for keeping these confidential, for restricting access to authorized personnel, and for all activity that occurs under your credentials. Notify us promptly at info@jamestown-capital.com if you believe credentials have been compromised.

4. Acceptable Use

You agree not to:

  • Use the software for any unlawful purpose or in violation of any applicable law
  • Copy, modify, reverse engineer, decompile, or create derivative works from the software, except to the extent this restriction is prohibited by law
  • Resell, sublicense, rent, or otherwise make the software available to third parties
  • Circumvent or attempt to circumvent any security, authentication, or rate-limiting control
  • Interfere with the integrity or performance of the software or the third-party platforms it connects to
5. Third-Party Platforms and Integrations

Our applications may connect to third-party platforms at your direction, including accounting, customer relationship management, and operations systems such as QuickBooks Online (a product of Intuit Inc.). We access those platforms only after you authorize the connection through the platform's own authorization process, and only within the permission scopes you approve.

Your use of any third-party platform remains governed by your agreement with that provider, and we are not responsible for the availability, accuracy, or practices of those platforms. You may revoke our access at any time from within the third-party platform or by contacting us, and we will stop accessing that platform's data upon revocation.

6. Customer Data and Ownership

As between you and Jamestown Capital, you retain ownership of all data you provide or that we access on your behalf from a connected third-party platform ("Customer Data"). You grant us the limited right to access, process, store, and transmit Customer Data solely to provide and support the services you have requested. We do not sell Customer Data and we do not use it for advertising. Our handling of personal information is described in our Privacy Policy.

7. Confidentiality and Security

We implement reasonable administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit, access controls, and storage of credentials in a dedicated secret management system. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

8. Service Availability and Changes

We may modify, suspend, or discontinue any part of the software at any time. We do not guarantee uninterrupted or error-free operation, and availability may be affected by third-party platforms, scheduled maintenance, or events outside our control.

9. Disclaimer of Warranties

The software and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Information produced by our software is provided for business information purposes and does not constitute accounting, tax, legal, or investment advice.

10. Limitation of Liability

To the maximum extent permitted by law, Jamestown Capital will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to these Terms or your use of the software, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to us for the software in the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars if no such amounts were paid.

11. Term and Termination

These Terms apply for as long as you access our websites, applications, or integrations. You may terminate at any time by ceasing use and disconnecting any authorized integration. We may suspend or terminate access at any time, including for breach of these Terms. On termination, the license granted above ends immediately. Sections concerning ownership, Customer Data, confidentiality, disclaimers, limitation of liability, and governing law survive termination.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use after an update constitutes acceptance of the revised Terms.

13. Governing Law

Except as otherwise provided in a written services agreement between the parties, these Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming for any dispute arising out of or relating to these Terms.
